Terms and Conditions

Please read these Terms carefully before using happen. By creating an account or using the Service, you agree to be bound by these Terms.

1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the happen web application and any related services (collectively, the "Service"), operated by happen ("we", "us", or "our").

By accessing or using the Service, you confirm that you are at least 16 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

2. The Service

happen is a personal productivity web application that helps you manage tasks, plan your day using a timebox calendar, organise goals by life context ("Hats"), and capture ideas ("Loose Threads"). The Service is provided on a subscription basis with Free, Pro, and Premium tiers, as described on our pricing page.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

3. Accounts

3.1 Registration

To access the full Service, you must create an account using a valid email address and a password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3.2 Accuracy

You agree to provide accurate and current information when creating your account and to keep it up to date.

3.3 Account security

Notify us immediately at support@happen.app if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your account.

3.4 One account per person

Accounts are for individual use only. You may not share your account credentials with others or create accounts on behalf of other individuals without their consent.

4. Subscriptions and Payments

4.1 Plans

We offer the following subscription plans (pricing and feature limits are shown on our pricing page and may change with notice):

  • Free: limited task count, core features.
  • Pro: unlimited tasks, additional features, billed monthly.
  • Premium: all features including advanced analytics, billed monthly.

4.2 Billing

Paid subscriptions are billed in advance on a monthly basis. All payments are processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods, except where required by law.

4.4 Price changes

We may change subscription prices with at least 30 days' notice by email. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.

4.5 Taxes

Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes applicable to your subscription in your jurisdiction.

5. Free Tier and Limits

The Free tier is subject to feature and usage limits (e.g. a maximum number of active tasks). We reserve the right to adjust these limits with reasonable notice. Exceeding limits may require upgrading to a paid plan.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Scrape, crawl, or systematically download data from the Service without our written permission.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse-engineer, decompile, or attempt to derive source code from the Service.
  • Use the Service to store or transmit malicious code or harmful content.
  • Resell or sublicense the Service without our express written consent.

Violation of these rules may result in immediate account termination without refund.

7. Your Content

7.1 Ownership

You retain ownership of all content you create in the Service (tasks, notes, schedules, etc.). We do not claim any intellectual property rights over your content.

7.2 Licence to us

By storing content in the Service, you grant us a limited, non-exclusive licence to store, process, and display your content solely to provide the Service to you. We do not use your content for any other purpose.

7.3 Your responsibility

You are solely responsible for the content you store. Do not store sensitive personal information (financial details, passwords, government ID numbers) in task descriptions or notes beyond what is necessary for your personal use.

7.4 Data export

You may export your task data at any time in CSV or JSON format using the in-app export feature.

8. Intellectual Property

The Service, including its design, code, features, and branding (excluding your content), is owned by us and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our name, logo, or branding without our prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

10. Third-Party Services

The Service integrates with third-party providers including Stripe (payments) and Railway (hosting). Your use of these providers is subject to their own terms and privacy policies. We are not responsible for the practices of third-party providers.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any data stored in the Service will not be lost.

You are responsible for maintaining backups of your important data. We strongly encourage use of the in-app export feature.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £50.

Nothing in these Terms limits liability that cannot be excluded under applicable law (including liability for death or personal injury caused by negligence, or for fraud).

13. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your content, or your violation of these Terms.

14. Termination

14.1 By you

You may close your account at any time by contacting support@happen.app. Upon account closure, your data will be deleted within 30 days.

14.2 By us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice where practicable. We may terminate accounts on the Free tier that have been inactive for more than 12 months, with prior email notification.

14.3 Effect of termination

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitation of liability, and governing law.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by updating the "Last updated" date above. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with a change, you must stop using the Service and may close your account before the effective date.

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are a consumer residing in another jurisdiction, in which case mandatory local consumer protection laws may apply.

We prefer to resolve disputes amicably. Before initiating formal proceedings, please contact us at support@happen.app to give us the opportunity to address your concern.

17. General

  • Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger or acquisition.
  • No partnership: Nothing in these Terms creates a partnership, agency, or employment relationship between you and us.
